Job Introduction

Senior Assistant Company Secretary – Salary £85,000 to £110,000 depending on experience – Permanent – Hybrid Home & Folkestone / London. Rare opportunity at [Employer hidden — sign up to reveal] to join a high functioning Company Secretarial Team. You will support the team professionally and administratively, act as named Company Secretary for the Insurance and [Employer hidden — sign up to reveal] Money business units, and act as secretary to the plc Audit and Risk Committee.

Main Responsibilities

  • Maintain effective relationships with Insurance and Personal finance entity Chairs and CEOs.
  • Draft and control annual corporate calendars, prepare agendas, governance reports, circulate papers, draft minutes.
  • Work collaboratively to ensure quality board/committee papers.
  • Attend and minute Board, Remuneration/Nomination Committee, Audit, Risk and Compliance Committee meetings.
  • Maintain governance documents (Terms of Reference, delegated authority matrices, division of responsibilities).
  • Ensure effective reporting between subsidiaries and [Employer hidden — sign up to reveal] plc.
  • Provide advice on corporate governance practice.
  • Liaise with Conduct Risk Team on FCA regulatory matters.
  • Carry out Non-Executive and Executive Director inductions.
  • Support AGM preparation and Annual Report production.
  • Assist with project work, due diligence, group policies.
  • Act as trusted adviser on governance issues.
  • Draft resolutions and documentation for governance matters.
  • Monitor developments in company law, corporate governance, regulatory requirements.
  • Contribute to corporate projects (mergers, acquisitions, restructures).
  • Work with cross-functional teams.

The Ideal Candidate

You will have previously line managed in a Company Secretary function, worked in a Plc and/or regulated business. Skills: build relationships with directors, high-level organisational skills, excellent communication, minute taking, detail-oriented, pragmatic, project management, legal background (law or business degree), CGI qualified (Chartered Governance Qualifying Programme), knowledge of UK Companies Act 2006, FCA regulations, company secretarial software.
