The Associate Director, Legal will be accountable for all legal aspects of the [Employer hidden — sign up to reveal] Infrastructure SPP third-party platform and asset lifecycle, including new co-investment processes, add-ons / equity injections, as well as full or partial capital rotation.

Key Responsibilities

  • Lead all legal workstreams for the SPP platform
  • Participation in production and review of platform-related marketing and DD materials
  • Working with external counsel on vehicle structures, term sheets, operative legal documents, service provider contracts
  • Negotiating SPP-related confidentiality agreements, engagement letters, sponsorship agreements
  • Leading negotiations with co-investors on operative legal documents
  • Supporting investor interactions, communications and reporting
  • Understanding [Employer hidden — sign up to reveal] structuring considerations
  • Keeping appraised of industry developments in capital solutions
  • Collaborating with internal teams (Deal Team, Asset Team, Tax, Finance, Compliance)
  • Advising on marketing in target jurisdictions, regulatory filings, and compliance program updates

Qualifications

  • Law degree from recognized university; UK or US qualified and in good standing
  • Minimum 6 years legal experience at law firm or in-house
  • Experience in M&A, fund formation and/or co-investments in infrastructure, private equity or private asset class
  • Very strong analytical skills and attention to detail
  • Strong interpersonal and communication skills
  • Well-developed negotiation and drafting skills
  • Working knowledge of securities laws in US, UK, EU, Australia and Singapore
  • Ability to build trusted relationships
  • Intellectually curious team player
  • Commercial judgement and business acumen
  • Exceptional written and verbal communication
  • Proactive self-starter with high degree of ownership
