We’re now looking for a Company Secretary to play a key role in supporting our Board, ensuring compliance, and strengthening corporate governance across the Group.

We’re now looking for a Company Secretary to play a key role in supporting our Board, ensuring compliance, and strengthening corporate governance across the Group.

SCOPE OF ROLE

Reporting to the CFO, you’ll act as a trusted adviser on governance, statutory compliance, and corporate administration across a multi-entity, international business.

This is a highly visible role, supporting Board operations, managing statutory requirements, and ensuring the business operates efficiently, transparently, and in line with best practice.

You’ll work closely with senior leadership, finance, and external advisers to ensure governance processes are robust, scalable, and aligned with business growth.

HOW YOU`LL SUCCEED

Corporate Governance & Compliance

  • Act as the principal adviser on governance and statutory obligations
  • Ensure compliance with the Companies Act 2006 and relevant legislation
  • Maintain statutory registers, filings, and corporate records across Group entities
  • Coordinate Board meetings, minutes, resolutions, and shareholder approvals
  • Identify governance risks and drive improvements to internal controls

International & Corporate Structuring

  • Manage the incorporation of UK and overseas entities
  • Support corporate restructuring and share capital changes
  • Maintain cap tables and ownership structures
  • Support licensing and regulatory requirements across jurisdictions

Banking, Finance & Guarantees

  • Coordinate bank account setup, mandates, and signatory frameworks
  • Support guarantee and bond processes (PCGs, performance bonds)
  • Liaise with banks, insurers, and advisers on financial documentation
  • Provide corporate documentation for tenders and major projects

Regulatory & Reporting Compliance

  • Manage KYC, FATCA and CRS requirements
  • Support audit, lender and regulatory compliance processes
  • Maintain accurate corporate records across all entities

⚙️ Corporate Administration

  • Ensure all company records are accurate and up to date
  • Provide governance support across the organisation
  • Support ad-hoc corporate, compliance and governance projects

WHAT IT TAKES

✅ Essential Experience

  • Experience as a Company Secretary or in a governance/compliance role
  • Strong knowledge of UK company law and statutory filings
  • Experience supporting Boards and senior leadership teams
  • Experience managing multi-entity or group structures
  • Confident in liaising with external advisers, banks and stakeholders

Qualifications

  • Degree or equivalent experience in law, governance or business
  • CGI / ICSA qualification (or working towards) is desirable
