AP Group are delighted to have been provided with exclusive rights by our client to fill a unique opportunity for a part-time Independent Director position in Jersey. The main duties of this position are to Provide credible, hands-on independent governance and commercial oversight for a Jersey-resident investment-holding Company by implementing investment discipline, and evidencing central management and control in Jersey.
Key responsibilities are to: Act as a genuine, independent director (not a nominee), by exercising fiduciary duties and robust judgement. Approve investment policy/mandate, risk limits, liquidity, banking, counterparties, and material trades.
Work alongside third party directors to ensure board meetings, decision-making and minutes evidence Jersey-based governance and substance.
Review and approve material matters, such as: treasury, funding/loan documentation (incl. “under-seal” arrangements where applicable), conflicts/related-party matters, distributions (if any), and major service-provider appointments. Interface with advisers (legal/tax/audit/investment managers) and support strong compliance, record keeping and controls.
Essential requirements is that the successful candidate is a Jersey based tax resident holding entitled/entitled to work residential status and available for in-person board meetings to be held in Jersey.
You must also be able to evidence proven director experience in Jersey with a solid background in commercial competence: investment oversight, treasury, corporate finance, risk governance, or fiduciary leadership.
To be confident in challenging management and documenting decisions. To be highly discrete, comfortable within a family-office setting and working alongside professional third party directors.
You will already have obtained or be able to pass fit & proper, AML/KYC, sanctions/PEP screening set by the JFSC and be able to provide strong references.
