Summary

A Top Tier Investment Bank is seeking a dynamic Securities Lawyer at the Vice President level to join their London office. The role involves providing legal advice on depositary receipts, negotiating agreements, and ensuring compliance with securities laws and regulations. Key Responsibilities/Duties:

  • Advising the depositary receipts businesses on all legal and documentation related issues on wide ranging topics and products.
  • Negotiating agreements relevant to the businesses, for example, Deposit Agreements, Arrangement Letters, and any related ancillary documentation with clients as required.
  • Providing day-to-day legal advice and guidance in respect of depositary receipts.
  • Instructing and liaising with external counsel, as required, on transactional matters and bespoke advice, including review and analysis of legal opinions.
  • Advising the businesses on key legal/regulatory issues.

Core Requirements/Qualifications/Skills:

  • Qualified lawyer in a common law or civil law jurisdiction with a minimum of 4 years' PQE.
  • Good experience within the Legal Department of a leading investment bank or in private practice (preferably with in-house experience).
  • Background in providing legal services to an operations-intensive business including knowledge of securities settlement systems and asset servicing would be helpful.
  • Familiarity and experience within securities services would be an advantage.
  • A good knowledge of securities laws and financing arrangements is preferred.

The Client - is a renowned Top Tier Investment Bank across the globe is looking for a dynamic lawyer. They are looking for an exciting lawyer to join the Securities Services Business team in their London office. This firm prides itself on its high quality of work, reputation and empower/supporting all employees to achieve their potential.

If you have experience with securities service – this would be advantageous.

The Role - is based in London with 2/3 days in the office and the rest to work from home. As the Vice President you will be joining an important team which services the entire EMEA unit across Compliance, Risk, Credit and Tax.

Typical tasks may include:

  • Advising the depositary receipts businesses on all legal and documentation related issues on wide ranging topics and products.
  • Negotiating agreements relevant to the businesses, for example, Deposit Agreements, Arrangement Letters, and any related ancillary documentation with clients as required.
  • Negotiating confidentiality agreements/non-disclosure agreements.
  • Providing day-to-day legal advice and guidance in respect of depositary receipts.
  • Attendance at internal and external meetings, e.g., product development meetings, business control meetings and document negotiations with clients and/or their internal and external legal counsel.
  • Instructing and liaising with external counsel, as required, on transactional matters and bespoke advice, including review and analysis of legal opinions.
  • Advising the businesses on key legal/regulatory issues.
  • Close coordination with colleagues in the US/LatAm and Asia Pacific on relevant issues.
  • Liaising with business representatives and legal/compliance colleagues and other control functions e.g., Compliance, Credit, Risk, Tax in EMEA and globally.

You –

  • Qualified lawyer in a common law or civil law jurisdiction with a minimum of 4 years' PQE.
  • Good experience within the Legal Department of a leading investment bank or in private practice (preferably with in-house experience).
  • Background in providing legal services to an operations-intensive business including knowledge of securities settlement systems and asset servicing would be helpful.
  • Familiarity and experience within securities services would be an advantage.
  • A good knowledge of securities laws and financing arrangements is preferred.

- Ability to handle multiple assignments and competing priorities.

- Ability to work to deadlines.

- An understanding of relevant existing and upcoming regulatory developments for securities services would be helpful.
