Summary
Senior Lawyer sought by a leading Investment Management FinTech company. The role involves managing legal and regulatory life cycle events of a Luxembourg UCITS SICAV umbrella fund, reviewing and negotiating agreements, providing strategic legal advice, and assisting with corporate and governance matters.
Key Responsibilities/Duties
- Managing legal and regulatory life cycle events of a Luxembourg UCITS SICAV umbrella fund
- Coordinating submission and approval of prospectus updates with investment managers and the CSSF
- Reviewing and negotiating agreements for and on behalf of the fund
- Handling ad hoc requests from various stakeholders of the fund (including the board of directors, administrator, management company and investment managers)
- Taking a key role in building and commercialising the umbrella fund platform and structuring new platforms
- Liaising with external legal counsel and coordinating their work to meet deadlines
- Reviewing and negotiating service agreements and other material commercial contracts (incl. tech related agreements and market data)
- Creating and maintaining templates (e.g. service agreements, disclaimers, employment contracts)
- Leading legal aspects of new business initiatives (e.g. new office openings, new product offerings, on-boarding of new clients)
- Providing strategic legal advice to key stakeholders in the business
- Assisting with corporate and governance matters relating to the partnership and broader corporate group
- Proactively seeking to mitigate legal risk to the business and create/improve processes where required
- Monitoring and updating key contracts, product terms and conditions, IP/liability protections etc
- Assisting with legal aspects of HR (e.g. employee relations, global mobility, tax)
Core Requirements/Qualifications/Skills
- 5PQE+, England & Wales qualified, however open to Foreign Qualified Lawyers
- Experience in either a top tier law firm or in-house environment (asset managers or funds is desirable but not essential).
- Experience in reviewing and negotiating agreements for funds is ideal
- UCITS experience is required

Senior Lawyer sought by a leading Investment Management FinTech company. My client offers a SaaS backed platform which supports a range of high end funds and asset managers. They are looking for a dynamic lawyer to join an exciting team and effectively act as the General Counsel's No.2.
The General Counsel is looking for an exceptional lawyer, who can operate Undertakings for Collective Investment in Transferable Securities (UCITS) platform, be self-motivated and be able to provide complete support, of the investment management lifecycle, to their clients.
There is a strong focus on both commercial experience and investment funds experience, so this is essential. However, both UK qualified and foreign qualified solicitors will be considered.

Assisting clients with legal queries (e.g. structuring funds, market standards in trading documents); and
Monitoring legal developments and their application to the business.
What are they looking for:
- 5PQE+, England & Wales qualified, however open to Foreign Qualified Lawyers
- Experience in either a top tier law firm or in-house environment (asset managers or funds is desirable but not essential).
- Experience in reviewing and negotiating agreements for funds is ideal
- UCITS experience is required
